1. Acceptance of Terms

By accessing or using Briefdesk ("the Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms form a legally binding agreement between you and the operator of the Service. By creating an account, you confirm that you have read, understood, and accepted these Terms in full.


2. About Briefdesk

Briefdesk is an independent software product operated by an individual ("we", "us", "our"). Briefdesk is not a registered company. It is currently offered as an early access product during a market validation period.

3. Beta Software — Important Disclaimer

Please read this section carefully before using the Service. By registering for or using Briefdesk, you acknowledge and accept all of the following.

Briefdesk is currently in beta. This means:

3.1 The Service is provided "as is"

The Service is experimental and under active development. It is provided without any warranty of any kind — express, implied, or statutory. We make no representations about its suitability, reliability, availability, accuracy, or fitness for any purpose.

3.2 No guarantee of uptime or data integrity

We do not guarantee that the Service will be available at any particular time, that your data will be preserved without interruption, or that data you enter will not be lost due to software errors, infrastructure failures, or any other cause. You use the Service entirely at your own risk.

3.3 Do not rely on Briefdesk as your sole system

You must not rely on Briefdesk as your only record of matters, tasks, deadlines, or client information. You are strongly advised to maintain independent records of all professional obligations. We accept no liability for any missed deadline, professional consequence, or loss of any kind resulting from your reliance on this Service.

3.4 We may terminate the Service at any time

We reserve the right to suspend, modify, or permanently discontinue the Service at any time, without prior notice and without liability. If we discontinue the Service, we will make reasonable efforts to notify you and allow you to retrieve your data, but we make no guarantee of any notice period.

3.5 Your data may be lost

In the event of a critical failure, discontinuation, or data corruption event, we cannot guarantee recovery of your data. You are responsible for maintaining your own independent records.

4. Eligibility

5. Subscription Terms

5.1 Early access and free trial

Briefdesk is currently in an early access period. During this period:

At the end of the six-month period, your account will automatically transition to read-only mode. In read-only mode:

Notwithstanding any stated free trial period, we reserve our right at any time and without notice to (i) modify the terms and conditions of the free trial offer, or (ii) discontinue or cancel such free trial offer, including before the expiry of the applicable free trial period.

5.2 Paid Subscription

Subject to our sole discretion to continue making the Services available following the expiry or earlier termination of the free trial period, you may at your option subscribe to the services for continued full access by paying the applicable monthly subscription fee ("Subscription Fee").

Details of how to subscribe will be provided before your trial period ends. We will notify you by email before your trial expires.

For purposes of these terms, a monthly subscription means a recurring subscription period commencing on the date of successful payment and continuing for successive one (1) month periods.

5.3 Payment processing

All payments are processed by Stripe, Inc. ("Stripe"), a third-party payment processor. By subscribing, you authorise Stripe to charge your selected credit card payment method on a recurring monthly basis. Your full card details — including card number, expiry date, and security code — are collected and held exclusively by Stripe and are not stored on our systems. We receive and store limited payment information from Stripe — specifically the card type (e.g. Visa, Mastercard) and the last four digits of your card number — solely for the purpose of displaying your current payment method within the Service. Your use of Stripe's payment services is also subject to Stripe's own terms and privacy policy, available at stripe.com.

5.4 Recurring billing

Your subscription renews automatically each month on the same date it began. You will be charged at the start of each billing cycle. By subscribing, you authorise this recurring charge until you cancel your subscription.

If a payment fails, we will make reasonable efforts to notify you by email. Your account may be suspended or restricted to read-only mode until full payment of monthly Subscription Fee is paid. We are not liable for any loss arising from your inability to access the Service due to a payment failure.

5.5 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, the subscription shall remain active until the expiry of the then-current billing cycle, following which your user account may be converted to a limited read-only access mode for six (6) months commencing from the end of the applicable billing cycle or such period as may be determined by us from time-to-time. In read-only mode, you may view all data you have entered into the Service but may not create, edit, or delete any data.

During such read-only access period, you may elect to reactivate your subscription in order to restore full access to the Services. We will retain your data for six (6) months commencing from the end of the applicable billing cycle or such period as may be determined by us from time-to-time. After this period, your account and all associated data — including matters, tasks, and client records — will be permanently deleted from our systems. Deletion is irreversible.

If you wish to retrieve your data before it is deleted, please contact us at support@briefdesk.io before the six-month retention period expires. We do not provide an automated data export tool at this time.

5.6 Refunds

All subscription fees paid are strictly non-refundable. No refund, rebate, credit or pro-rated adjustment shall be granted under any circumstances, including whether the Services are suspended, restricted or terminated by us, or where you elect to cancel, discontinue or cease using the Services, irrespective of whether the relevant subscription period has been fully utilized.

5.7 Price changes

We reserve the right to change the Subscription Fee at any time upon providing prior notice to you by email or by such other means of communication we may determine appropriate.

Any revised Subscription Fee shall take effect from the commencement of your next subscription billing cycle following the effective date specified in the notice, and shall not apply retrospectively to any current subscription period for which payment has already been made.

5.8 Taxes

Subscription fees are stated exclusive of any applicable taxes. You are responsible for any taxes applicable to your subscription under the laws of your jurisdiction, including but not limited to sales tax, service tax, or goods and services tax.

We reserve the right to charge, collect and remit any applicable taxes as may be required by applicable law or by any relevant governmental or regulatory authority from time to time.


5A. Referral Programme

5A.1 How the programme works

Registered users ("Referrers") may invite others to create a Briefdesk account by sharing a unique referral code or link assigned to their account. When a person referred by a Referrer ("Referee") creates an account using that code or link and makes their first successful subscription payment, the Referrer may receive account credit in accordance with this Section.

5A.2 Credit amount

Subject to the conditions below, a Referrer will receive the following credit applied to their Briefdesk account:

Account credit is applied as a Stripe customer balance and will be automatically deducted from the Referrer's next invoice. Credit has no cash value and cannot be withdrawn, transferred, or redeemed for cash under any circumstances.

5A.3 Eligibility conditions

Credit will only be awarded if all of the following conditions are met at the time the Referee's first payment is processed:

5A.4 Monthly cap

A Referrer may receive credit for a maximum of ten (10) eligible referrals per calendar month. Referrals beyond this limit in the same calendar month will not be credited, regardless of their eligibility.

5A.5 Clawback

If a Referee initiates a chargeback or payment dispute in respect of the payment that triggered a referral credit, we reserve the right to reverse that credit from the Referrer's account balance. This reversal will be applied as a positive adjustment to the Referrer's Stripe customer balance and may result in a higher charge on the Referrer's next invoice.

5A.6 Programme modifications and termination

We reserve the right, at our sole discretion and without prior notice, to:

Any change to credit amounts or eligibility conditions will apply to referrals generated after the date of the change. Credits already awarded will not be affected, except in the case of clause 5A.5 (clawback) or clause 5A.6(d) (disqualification for fraud).

5A.7 No guarantee

We do not guarantee the continued availability of the referral programme or any minimum amount of credit. Account credit has no monetary value outside the Service and will not be honoured if the Service is discontinued.

You agree to use the Service only for lawful professional purposes. You must not:

All intellectual property rights in the Service — including its software, design, interface, content, and branding — belong to the operator of Briefdesk or are used under licence.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your personal professional purposes during the period your account is active. No other rights are granted.


8. Your Data

You retain ownership of all data you enter into the Service ("User Data"). By using the Service, you grant us a limited licence to store and process your User Data solely for the purpose of providing the Service to you. By providing the User Data to Briefdesk, you represent and warrant that you are legally entitled to do so and that such content does not violate any applicable laws, regulations or third-party rights.

Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are solely responsible for the accuracy and legality of any data you enter into the Service.


9. No Professional Relationship

Use of the Service does not create any professional, fiduciary, advisory, legal, or other special relationship between you and Briefdesk or its operator. We are a software tool, not a legal adviser, compliance consultant, or professional service provider of any kind. Nothing in the Service or these Terms should be construed as professional advice of any nature.


10. Service Availability

We make no guarantee of uptime, availability, or continuity of the Service.

If we decide to permanently discontinue the Service, we will make reasonable efforts to provide advance notice and allow you to retrieve your data. However, we do not guarantee any minimum notice period and accept no liability for any consequences of discontinuation.


11. Force Majeure

We shall not be liable for any failure or delay in providing the Service, or for any loss of data or service interruption, arising from causes beyond our reasonable control. This includes, without limitation: internet infrastructure failures, third-party hosting or cloud service outages, natural disasters, acts of government, power failures, cyberattacks on infrastructure we rely upon, or any other event outside our reasonable control ("Force Majeure Event").

In the event of a Force Majeure Event, our obligations under these Terms are suspended for the duration of that event. We will make reasonable efforts to restore the Service when the event has passed, but accept no liability for any consequences arising during or after the event.

You agree to indemnify, defend, and hold harmless Briefdesk and its operator from and against any and all claims, demands, losses, liabilities, costs, damages, and expenses (including reasonable legal fees) arising out of or related to:

The Service is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. We make no warranty, express or implied, that:

The Service is a productivity and organisational tool only. It does not constitute legal advice and is not a substitute for professional judgment. Although regular backups of the User Data are performed, we do not guarantee there will be no loss or corruption of data. We will provide reasonable support to troubleshoot any known or discovered issues that may affect the backups of the user data. By using the Service, you acknowledge and accept that we have no liability related to the integrity of the User Data or the failure to successfully restore the User Data to a usable state.

At all material times, you remain solely responsible for all professional obligations, court deadlines, filing requirements, and any other duties in your practice. We accept no liability for any professional consequence arising from your reliance on the Service.


15. Termination

15.1 By You

If you wish to permanently terminate and delete your account, you are required to submit a written request to us via our email address as provided in these Terms. Upon receipt of such request, we will issue an acknowledgement of receipt and your access to and use of the Services shall immediately cease. Your account shall thereafter be scheduled for deletion within one (1) month from the date of such acknowledgement.

Deletion is irreversible. All data, content, records and other associated information may be permanently erased or removed from our systems and may no longer be recoverable and accessible thereafter.

We may suspend or terminate your account at any time, with or without notice and without liability, if:

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.


17. Non-Malaysian Users

Briefdesk is designed for the Malaysian market and is operated in accordance with Malaysian law. The Service may be accessed by users in other countries. However:

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Briefdesk with respect to the Service. They supersede all prior representations, discussions, agreements, or understandings of any kind, whether written or oral, relating to the Service.

18.2 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable. If modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

18.3 No Waiver

Our failure to enforce any provision of these Terms on any occasion does not constitute a waiver of our right to enforce that provision or any other provision on any future occasion. No waiver of any breach shall be construed as a waiver of any subsequent breach.


19. Changes to These Terms

We reserve our right to amend or modify these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this document and the revised policy will be notified on Briefdesk website prior to the changes becoming effective. For material changes, we will make reasonable efforts to notify you by email. It is your responsibility to review the Terms from time to time for the latest updates on our Terms of Use.

Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
